1. Who This Agreement Is Between

These Terms of Service ("Terms") are a binding agreement between you ("Client," "you") and Orange Lamp Studio, LLC, doing business as Orange Lamp Studio ("we," "us," "our"), located at PO Box 1411, Raeford, North Carolina.

Orange Lamp Studio is owned and operated by Jarmal Wilcox. The BrandKit System and all related services offered through jaydesigns.co are delivered by Orange Lamp Studio, LLC.

By submitting an application, booking a discovery call, or purchasing any service through jaydesigns.co, you agree to these Terms in full. If you don't agree, please don't move forward with the process.

2. Services Offered

We offer done-for-you brand systems for coaches, consultants, and service-based professionals. The core offer is:

The BrandKit System — $3,500

This includes brand identity, messaging, offer structure, a multi-page Framer website, SEO setup, and a brand guide — designed, built, and delivered within 14 days of your intake session.

Brand Launch Kit — $1,500 add-on

An optional add-on that includes a short video script, an 8-email nurture sequence, 9 social media launch posts, and a discovery call deck. Delivered within 5 business days of your completed brand system. Scoped and agreed upon separately before work begins.

The exact scope of your project is confirmed during the discovery call and documented before work starts.

3. How the Process Works

The BrandKit System follows a defined process:

Step 1 — Application. You submit a short application through the website. This helps us both determine if the project is a good fit.

Step 2 — Discovery Call. If it looks like a fit, we'll send a link to book a 30-minute call. We discuss your offer, your audience, and your goals. We decide together whether to move forward.

Step 3 — Intake Session & Build. You show up for one intake session (approximately 90 minutes). We learn your voice, your messaging, and what makes your offer work. Then we build your entire brand system and deliver it within 14 days. You get two rounds of revisions to make sure it feels right.

4. Payment Terms

BrandKit System: $3,500, due in full before the intake session begins. Payment is collected via invoice. Accepted methods will be confirmed during your discovery call.

Brand Launch Kit: $1,500, due before add-on work begins. Only available as an add-on to the BrandKit System.

Late payments: If payment is not received within 15 days of the invoice date, Orange Lamp Studio will charge a late payment fee of 1% per month on any overdue and unpaid balance not in dispute. This covers the interest and costs of carrying overdue invoices. We also reserve the right to pause all work until payment is received. The 14-day delivery timeline pauses with it.

Collection costs: In the event that we incur legal fees, costs, or disbursements in an effort to collect unpaid invoices, you agree to reimburse us for those expenses in addition to the unpaid balance and any accrued interest.

5. The 14-Day Launch Guarantee

We guarantee that your brand system will be live within 14 days of your intake session — as long as the delay is on our end.

What this means:

If your site isn't live by day 14 because of something we control (design, development, copy, setup), we continue working at no additional cost until it's delivered.

What this doesn't cover:

The guarantee does not apply when delays are caused by the client. This includes late feedback during revision rounds, delayed intake session scheduling, unresponsive communication (more than 3 business days without a reply during an active revision round), or scope changes requested after work has begun.

Brand Launch Kit guarantee: The Brand Launch Kit has its own delivery timeline (5 business days after brand system completion). This is scoped and guaranteed separately.

6. Refunds and Cancellations

Before the intake session: If you cancel before the intake session takes place, you are entitled to a full refund minus a $500 non-refundable booking fee. The booking fee covers the time spent on your application review, discovery call, and project setup.

After the intake session begins: Once the intake session has taken place, the project fee is non-refundable. At that point, significant creative work has already started — research, strategy, and production are underway.

If we can't deliver: If we are unable to complete the project for reasons entirely on our end (illness, emergency, capacity), we will offer you the choice of a full refund or a revised delivery timeline.

Client cancellation mid-project: You have the right to modify, reject, cancel, or stop work in progress at any time. However, you agree to reimburse us for all costs and expenses incurred prior to your change in instructions, including any non-cancelable commitments. No refund is issued for work already completed.

Termination by Orange Lamp Studio: If we terminate the engagement, we will refund any portion of the fee that corresponds to undelivered work.

7. Revisions and Scope

Included revisions: The BrandKit System includes two rounds of revisions after the initial delivery. A "round" means one consolidated set of feedback — not individual one-off requests spread across multiple days.

What counts as a revision: Copy edits, color adjustments, layout tweaks, image swaps, and minor structural changes within the existing scope.

What counts as a scope change: Adding new pages not in the original sitemap, changing the core offer structure after build has started, requesting a different brand direction after identity is approved, or adding functionality beyond the agreed deliverables. Scope changes are priced separately and require written agreement before work begins.

Additional revisions: If you need revisions beyond the two included rounds, additional rounds are available at a rate we agree on before the work starts.

Dormant projects: Projects that go dormant for longer than 45 days may incur a fee to resume work, at the discretion of Orange Lamp Studio.

8. Post-Delivery Support

After your brand system goes live, you receive 14 days of free support for small fixes and adjustments — typos, minor text changes, image swaps, and similar.

We also provide a 30-minute training session to walk you through how to edit text, swap images, and manage your blog in Framer.

After the 14-day support window, ongoing support is available on a case-by-case basis at an agreed rate.

9. Website Hosting and Ownership

Your website runs on Framer. Framer is a third-party platform. You will own and manage your own Framer account. Most clients use the Pro plan (approximately $30/month as of this writing), which covers publishing, custom domains, and analytics. We'll recommend the right plan during the project.

You own your Framer account. We build the site inside your Framer account (or transfer it to you). After delivery, the site is yours. We do not retain access unless you grant it for ongoing support.

Domain names are your responsibility. We can help you set up a custom domain during the project, but domain registration and renewal are managed and paid for by you.

10. Intellectual Property

What you own after delivery: You own the visual elements we create for your project — your brand identity, messaging copy, website design, and any add-on assets (if purchased). We'll provide source files and finished files. You should keep them somewhere safe, as we are not required to keep a copy.

What we retain: We retain ownership of the unique combination of elements that constitutes the complete design, and we license that to you exclusively and in perpetuity for your project. We also retain ownership of any proprietary processes, frameworks, templates, or tools used to create your deliverables. You receive the output, not the system.

Portfolio rights: We retain the right to display the work in our portfolio, case studies, social media, and marketing materials — unless you request otherwise in writing before the project starts.

Third-party assets: If the project uses stock photography, fonts, or other licensed assets, those remain subject to their respective licenses. We'll document any third-party assets used and their license terms in your brand guide.

Pre-existing client materials: You guarantee that all elements of text, images, or other artwork you provide are either owned by you or that you have permission to use them. Anything you provide to us remains your property. We use it only for the purpose of completing your project.

Client responsibility for accuracy: You are responsible for the accuracy, completeness, and propriety of information about your products and services that you furnish to us in connection with this agreement.

11. Confidentiality

Orange Lamp Studio acknowledges its responsibility, both during and after the term of this agreement, to use all reasonable efforts to preserve the confidentiality of any proprietary or confidential information developed on your behalf or disclosed by you during the project.

We will not share your business strategy, pricing, client information, or internal processes with anyone outside the project. The exception is the finished work itself, which we may display publicly (see Section 10) unless you opt out in writing.

12. Liability and Errors

We stand behind the quality of our work, but we cannot guarantee that our work will be error-free. We are human. We cannot be held liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if you've advised us of them.

We are not responsible for business outcomes. We do not guarantee that your new brand system will generate a specific number of leads, clients, or revenue. What we guarantee is the delivery (see Section 5) and the quality of the craftsmanship.

Our total liability for any claim related to this agreement is limited to the amount you paid for the service.

We are not liable for issues caused by third-party platforms (Framer, Google, domain registrars, email providers), your own modifications to the delivered work, or circumstances outside our reasonable control.

Client approval: Upon acceptance of the delivered work, you accept responsibility for any further processes in which this work is used. We are not responsible for errors occurring in work or projects related to this work after your acceptance.

13. Communication

During the project, we communicate primarily by email and Slack (if applicable). Response times are typically within 1 business day during active project phases.

We ask that you respond to revision requests within 3 business days to keep the project on schedule. Delays in client communication may affect the delivery timeline and the 14-Day Launch Guarantee (see Section 5).

14. Dispute Resolution

If a disagreement comes up, let's talk about it first. Most issues can be resolved with a direct conversation.

If we can't resolve it informally, we agree to attempt mediation before pursuing legal action. This agreement shall be governed and construed in accordance with the laws of the State of North Carolina. Both parties consent to jurisdiction in North Carolina.

15. Entire Agreement

This agreement constitutes the sole and entire agreement between the parties as to the subject matter hereof, and supersedes all prior discussions, agreements, and understandings of every kind between them.

If any provision of this agreement is held to be illegal, invalid, or unenforceable under any present or future law, that provision will be fully severable. This agreement will be construed and enforced as if the illegal, invalid, or unenforceable provision had never been a part of it, and the remaining provisions will remain in full force and effect.

16. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we'll update the "Last updated" date at the top and note what changed. Changes do not apply retroactively to projects already in progress.
